Considers the structure and governance of business organizations, owner informational rights, proxy voting and regulation, and shareholders derivative and direct suits. Attention will also be given to business combinations, sales of control, fiduciary duties of controlling persons, tender offers, the issuance of shares and debt obligations, distributions and redemptions. The above should be regarded as a general description of the course but is not intended to be all inclusive.
